Proof before scale

Orange County is the launch market. Thirty partners, one county, one year, measured results before expansion.

A $1.20M marketing engine

Funded by Sellers Reserve from the raise. No membership for partners or agents: $1.20M behind Southern California partners, their divisions and every agent's co-branded collateral.

Compounding ecosystem

Reserve Sale, mortgage, media, academy and technology feeding one flywheel: every reserve sale creates a loan, a story and a recruit.

Part I

The Problem

A multi-trillion-dollar market running on a 1970s operating procedure.

The Problem

The industry sells time.
Sellers want certainty.

Residential real estate is a multi-trillion-dollar market running on a 1970s operating procedure: list, wait, reduce, negotiate, hope. Every participant absorbs the cost of that uncertainty, the seller most of all.

01

Price discovery is guesswork

A listing price is an opinion. The market is never actually tested, it is negotiated against a single buyer at a time.

02

Time kills value

The average listing sits for months. Every price reduction is a public signal of weakness, and the seller pays for it twice.

03

Contingencies erode certainty

Deals collapse on inspection, appraisal and finance. The seller carries the risk of a buyer who was never fully committed.

04

Agents are undifferentiated

1.5 million licensees selling the same service, from the same portals, at the same price, with no system underneath them.

05

Brokerages have no product

Split wars, recruiting bonuses and desk fees. No technology, no demand generation, no defensible economics.

06

Ancillary revenue leaks out

Mortgage, title, escrow and marketing dollars leave the transaction and never come back to the people who created them.

“The market has never had a problem paying the price. It has had a problem discovering it.”

Part II

Why Now

The conditions for a platform layer have never aligned like this before.

Why Now

Six forces, converging
in the same window.

Platforms are not built when an idea is good. They are built when the market has no choice but to change. That window is open now, and it does not stay open.

Driver 01

Commission structures are being rewritten

Post-settlement, buyer-side compensation is negotiable and transparent. Models built purely on a commission split are structurally exposed. Ours is not.

Driver 02

Sellers have equity and impatience

Record embedded equity meets a market where speed and certainty are worth more than a theoretical extra percent six months from now.

Driver 03

Attention is the new distribution

Portals monetise the seller you created. Owned media, television, publishing, social, puts origination back in the hands of the operator.

Driver 04

Agents are looking for a system

Recruitment is no longer won on splits. It is won by handing an agent a machine that produces listings, appointments and closings.

Driver 05

Competitive bidding is normalised

Every other major asset class, art, cars, commercial, land, discovers price through competitive bidding. Residential is the last holdout, and it is turning.

Driver 06

AI collapses the cost of running an office

The workflow, the marketing, the underwriting triage and the follow-up now scale without headcount. Margin that used to be impossible is now standard.

Part III

The Company

Not a brokerage. Not an auction house. An operating system.

The Company

A force multiplier
for the broker partner.

Inside each selected brokerage we establish a Reserve Sale Division, for example ABC Real Estate Reserve Sale Division, powered by Sellers Reserve. The partner keeps its brand, its agents and its clients. We bring the method, the technology, the marketing engine, the training, the media and the mortgage partnership.

We earn a 1.5% fee on each property sold through the division and a 30% share of mortgage revenue. There is no membership for partners or agents. Instead, we pay each partner a 10% referral fee on our reserve sale revenue from its division, structured to be legally compliant. We succeed only when the partner succeeds, and the partner shares in our success.

Reserve Sale is our method. Media is our distribution. Broker partnership is our business model. The ecosystem is the moat.

Part IV

The Ecosystem

Twelve divisions, one compounding system.

The Ecosystem

Twelve divisions.
One operating system.

No single division is the business. The business is the interlock: each division lowers the cost and raises the output of the one next to it.

The Method

Eighteen days from list to non-contingent contract.

The Method

A compressed process that determines value in 18 days, not 180.

Every seller gets the same disciplined sequence. The transparency is the product: the seller watches the market decide, and the certainty arrives before the hammer drops.

Days 1–3

Reserve Strategy

Valuation range, reserve setting, and the seller's certainty plan. The reserve protects the downside before a dollar is spent.

The Mahon Methodology

Part VI

The Flywheel

Every reserve sale creates the next seller, the next loan and the next recruit.

The Revenue Flywheel

Every turn makes the
next turn cheaper.

Content creates audience. Audience creates sellers. Sellers create reserve sales. Reserve Sales create mortgages, stories and recruits, which create the next round of content. The customer acquisition cost of the platform falls with every rotation.

ContentAudienceSeller EnquiriesAgent RecruitmentSuccess AcademyListingsMarketingReserve SaleMortgageSuccess StoriesMediaMore ContentThe FlywheelEVERY DIVISION FEEDS THE NEXT

Owned origination

Demand is generated by our media, not bought from a portal.

Multi-monetisation

One seller relationship monetises across reserve sale, mortgage, media and the partner network.

Recruitment engine

Every public result is a recruitment asset, and every recruit is recurring revenue.

Part VII

The Mortgage Engine

A captured funnel, not a referral relationship.

The Mortgage Opportunity

The bidding room is the
best loan funnel in finance.

Every registered bidder must be qualified before they can raise a paddle. That requirement turns a reserve sale campaign into a pipeline of pre-approved, verified borrowers, at effectively zero incremental acquisition cost.

Qualification is mandatory, not optional

Bidder registration requires finance verification. The funnel fills itself as a by-product of running the campaign.

Multiple borrowers per property

The under-bidders do not disappear. They buy the next home, and they are already in our system, already approved.

Modelled at one funded loan per reserve sale

A deliberately conservative capture assumption given the number of qualified bidders in each campaign.

A partnership, not a referral

Sellers Reserve retains 30% of mortgage revenue; the broker partner retains 70%. We are partners in the finance business, not a referral fee.

Across 30 Orange County partners, that is $576M of annual mortgage volume at maturity. At 900 partners, $17.3 billion, from demand the platform created itself.

Part VIII

Sellers Reserve Studios

Owned demand generation at national scale.

Reserve sale event
Reserve Studios

A television series is not
marketing. It is distribution.

Reserve Studios produces a premium, unscripted series built around the reserve sale, the sellers, the stakes, the room, the hammer. It is the most efficient origination and recruitment asset the company can own.

Credibility at national scale

Television converts an unknown brand into an authority overnight. Sellers list with the brand they have already watched.

Recruitment on autopilot

Agents pursue relevance. A partner brokerage whose agents appear on a television series recruits from a position no split war can match.

Content that never stops working

Every episode becomes hundreds of social assets, magazine features and campaign proof points feeding the flywheel.

On funding: the series is not modelled as self-funding and carries no assumed network licence, sponsorship or distribution revenue. Season one is fully funded from the $550,000 allocated in this raise, and every projection in this memorandum holds if Studios generates no external revenue at all. Any licence or sponsorship secured is upside, not a dependency.

Part IX

Publishing

The magazine as the printed edge of the platform.

Reserve Magazine & The Book

Publishing is how we
own the seller relationship.

Print is not nostalgia, it is positioning. The magazine puts our listings in front of the exact demographic that owns them, and the book puts the methodology in the hands of every agent we intend to recruit.

Reserve Magazine cover
Reserve Magazine spread
The Sellers Reserve method in print

Reserve Magazine

A quarterly luxury title distributed into high-equity households and every partner territory. It is the listing showcase, the seller magnet, and a partner benefit competitors cannot replicate.

The Book

The methodology, documented. It converts a sales pitch into a body of work, the fastest way to earn a seller's trust and an agent's attention before the first meeting.

“We don't sell houses faster. We remove the reason they take so long.”

Part X

The Success Academy

One standard, identical execution, every market.

Training and operations
Success Academy

We don’t recruit agents.
We manufacture operators.

Success Academy is the certification layer of the operating system: the reserve conversation, the campaign build, bidder psychology, reserve sale day execution, and the mortgage handoff, taught, scored and standardised.

It solves the two hardest problems in scaling a real estate platform at the same time. It guarantees quality across every partner territory, and it is the single most effective recruitment instrument we have: agents join for the system, and stay for the results the system produces.

Part XI

The Broker Partner Proposition

An Reserve Sale Division inside the best brokerage in each territory.

The Broker Partner Proposition

One territory. One partner.
One Reserve Sale Division.

Sellers Reserve is selecting 30 brokerage partners across Orange County. Each installs a Reserve Sale Division powered by Sellers Reserve, and receives protected territory rights, the full ecosystem, and a dedicated marketing engine that puts the partner and its agents front and centre.

Recruitment

A genuine reason for productive agents to choose the partner brokerage over the one down the street.

Retention

New tools, marketing, training and opportunity that give the best agents more reasons to stay.

Results

More listings, shorter campaigns, stronger buyer competition and a process built around certainty.

Revenue

Higher production, more sides, greater commission opportunity and increased brokerage enterprise value.

The Four R’s reinforce one another. Better tools produce better results. Better results create more productive agents. Productive agents stay. Competitors notice. Recruitment becomes easier. Revenue follows.

A massive point of difference

A listing proposition materially different from another CMA or another promise to work hard.

A protected territory

Only one approved partner holds Sellers Reserve rights in each territory, subject to performance standards.

More double-sided opportunity

A larger pool of registered, motivated buyers, increasing opportunities to represent both sides where lawful.

Shorter time on market

Concentrated 16–21 day campaigns built on urgency and competition, not passive exposure.

Greater certainty

A non-contingent contract on reserve sale day, removing finance, appraisal and inspection fall-through risk.

Brand elevation

The partner stays front and centre. Sellers Reserve amplifies the brokerage and its agents; it never replaces them.

Who pays what, and what the partner earns

$22,500 on a $1,500,000 sale, paid by the seller at closing and only on success. It sits on top of the listing commission, so the broker’s commission is never reduced.

No buyer’s premium. Traditional auction houses add one, which ultimately comes out of the seller’s price. We don’t.

The Partner Pledge

We are here to strengthen the brokerage, not compete with it.

We do not recruit the partner’s agents, take its clients or hide its brand. Our economic success is tied directly to partner production.

Exclusivity has value

“Which brokerage has Sellers Reserve in this territory?”

Once a performing partner secures a territory, it is no longer available to competitors. The window to own a territory is finite, and that scarcity drives partner acquisition.

Part XII

What a single broker partner produces.

Partner Unit Economics

Part XV

Enterprise Value

Why this is priced as a platform, not a brokerage.

Enterprise Value

Priced as a brokerage.
Built like a platform.

Brokerages trade on thin, cyclical commission margins. A platform embedded inside hundreds of brokerages, with a proprietary demand engine and exclusive territories, trades on a fundamentally different basis. That gap is the investment.

Embedded by design

The Reserve Sale Division lives inside the partner's brand and workflow. Switching away means dismantling a division, not cancelling a vendor.

Asset-light scaling

Partners carry the offices, the agents and the local cost base. We carry the system.

Territory scarcity

Every protected territory filled is one a competitor cannot enter. The network itself becomes the asset.

Founder & Traction

Two decades of method.
Twelve months of groundwork.

Michael Mahon, Founder
Michael Mahon
Founder

The Mahon Methodology was not theorised, it was built over more than two decades of running competitive-bidding campaigns, training agents, and putting sellers in rooms where the market decided the price in public.

This is not a typical start-up. For the last eight months the platform has been built in the launch market: operator and vendor relationships in place, strong listings already in the pipeline, and conversations held with hundreds of agents and brokers across Orange County, alongside the media and publishing assets the platform runs on.

The demand is already in front of us. This raise is the capital to meet it, and to prove the model with 30 Orange County broker partners, cement Southern California and build up from there before someone else attempts it with less experience and more money.

Media assets

The series format, the magazine masthead and the content library, owned rather than licensed in.

Outcome data

Every campaign feeds a proprietary dataset of reserve levels, bidder behaviour and clearance by price band. No competitor can buy it.

Advisory board

A four-seat advisory board is being formed alongside this round, covering franchise law and disclosure, mortgage compliance, media distribution and multi-market brokerage operations. Advisors are appointed on standard advisor equity from the option pool rather than cash, and named advisors will be disclosed in the data room as each appointment is confirmed.

Part XXI

Risk & Mitigation

What could go wrong, and what is already in place.

Risk & Mitigation

Every risk we underwrite, and what we have already done about each one.

Franchise law · FTC Franchise Rule

Exposure

A branded division and a prescribed operating system could be characterised as a franchise under federal and California franchise law, regardless of the word used to describe it.

Mitigation

There is no membership or fee paid by the partner, the partner keeps its own brand, and the 10% referral fee is paid broker-to-broker only on reserve sale fees, never on mortgage revenue (RESPA). Franchise counsel reviews the partner agreement before signing, and we will prepare disclosure and registration if the structure requires it.

Mortgage venture structure

Exposure

A captive lending arm attached to our own transactions is precisely the controlled-business arrangement RESPA scrutinises, and it requires NMLS company and loan-originator licensing in every state we operate in.

Mitigation

Structured as a RESPA-compliant affiliated business arrangement: written disclosure at point of referral, no required use of the affiliate, no compensation other than a return on ownership interest, and no fee for referrals. NMLS company and originator licensing is sequenced state by state ahead of each market opening, with a compliance lead funded by this round.

Auction licensing by state

Exposure

Auction and brokerage regulation varies state by state and can slow market entry.

Mitigation

Expansion is sequenced by regulatory friendliness, and partner brokerages hold the required brokerage and auctioneer credentials as a condition of the partner agreement.

Partner underperformance

Exposure

A weak brokerage damages both revenue and the brand in an exclusive territory.

Mitigation

Territory rights are subject to performance standards, Academy certification before launch, quarterly review, and territory reassignment on sustained default.

Market softness

Exposure

A slower transaction market reduces reserve sale volume and mortgage originations per office.

Mitigation

Partner commitments are territory-long, not per-listing. The reserve sale outperforms in illiquid markets, where price discovery matters most.

Origination pace

Exposure

Partner signings arriving slower than plan pushes out the roadmap.

Mitigation

Orange County is fully funded by this round and profitable on its own. Media output is front-loaded so the top of the funnel builds ahead of the sales effort.

Key person concentration

Exposure

The methodology and the market relationships are currently founder-held.

Mitigation

The Academy exists to codify and transfer the method. This round funds the senior bench, and the curriculum is Company-owned IP, not personal knowledge.

Incumbent response

Exposure

A national brokerage could attempt its own reserve sale division.

Mitigation

Copying the method requires rebuilding owned media, a mortgage venture, a certification academy and the outcome dataset simultaneously. And our partner already holds the territory.

Part XXII

Competitive Landscape

Who already operates here, and where we differ.

Competitive Landscape

The category is proven.
The platform layer is not yet built.

Luxury auction is not an unproven idea, and we would be suspicious of anyone who claimed it was. Concierge Auctions and others have already validated the demand. What none of them have built is an Reserve Sale Division embedded inside the leading brokerage in each territory, with owned media, captive finance and certified agents attached.

Concierge Auctions

The category leader in luxury real estate auctions, a marketplace model now held inside a large brokerage network.

Where we differ

Transaction-by-transaction marketplace economics. No embedded local brokerage network, no captive mortgage, no owned media or academy. They monetise the auction, we monetise the operating system underneath it.

Supreme Auctions

Boutique luxury auction house engaged alongside listing brokers on a per-property basis.

Where we differ

A service hired for a single property. No recurring revenue, no territory network, no embedded partner network. Scale is bounded by their own headcount.

Sotheby's, Christie's and brand auction arms

Auction credibility attached to an existing luxury brand, used selectively at the very top of the market.

Where we differ

Auction is an occasional tool inside a commission business, not the standard operating procedure. Their economics still depend on splits, so they cannot rebuild around an 18-day non-contingent sequence.

Regional and online bidding platforms

Technology-first auction platforms, largely distressed, REO and investor inventory.

Where we differ

Software without demand origination. They sell access to a bidding tool. We originate the seller, fill the room, finance the buyer and certify the operator.

Traditional brokerage franchises

Brand, referral network and a royalty on gross commission income.

Where we differ

Franchise fatigue is our strongest sales argument. We take no royalty on gross commission. The partner keeps its brand and its commissions; we earn 1.5% only on properties sold through the division.

The advantage no competitor has

Led by Michael Mahon.

Platforms can be copied. Leadership cannot. Michael brings more than 20 years of experience refining this method, and he is the reason brokers take the meeting. He is experienced and talented, committed and unwavering, and he leads in a way that is dynamic and engaging. He has spent eight months building this, has strong listings in the pipeline and has spoken with hundreds of agents and brokers. Other firms sell a service. Sellers Reserve is led by a founder who lives the method and gets people to follow him.

The honest read: an incumbent could copy any single division. To copy the model they would have to run an auction house, a mortgage venture, a production studio, a publisher and a certification academy at once, and then install it inside a rival brokerage under that brokerage's brand. That is the trade none of them will make.

Part XXIII

Structural Advantage

What a competitor would have to rebuild to copy this.

Why We Win

The difference isn’t better.
It’s structural.
